Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Certifable platform, website, and related services (collectively, the "Service") provided by Certifable, Inc. ("Certifable," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Certifable is a certification management platform that provides certification agencies with tools for managing client registrations, document review, audit scheduling, certificate issuance, and related workflows. The Service includes a branded agency portal and a client-facing portal.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Subscription and Payment

  • Access to the Service requires a paid subscription. Plans are billed monthly or annually as selected during signup.
  • All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy.
  • We reserve the right to modify pricing with 30 days' advance notice. Existing subscriptions will honor their current billing cycle before any price change takes effect.
  • A 7-day free trial is available on all self-serve plans. You will not be charged until the trial period ends.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit malicious code, viruses, or harmful data
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell or sublicense the Service without prior written consent

6. Data Ownership and Licensing

Your Data: You retain all rights to the data, documents, and content you upload to the Service ("Your Data"). You grant us a limited license to process, store, and display Your Data solely to provide the Service.

Our Platform: The Service, including all software, designs, and documentation, is owned by Certifable, Inc. and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

7. Confidentiality

We treat all client data, certification records, and audit materials as confidential. We will not disclose your information to third parties except as necessary to provide the Service, comply with legal obligations, or with your explicit consent.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for any downtime caused by factors beyond our reasonable control.

9. Termination

  • You may cancel your subscription at any time through your account settings. Access continues until the end of your current billing period.
  • We may suspend or terminate your account for violation of these Terms, non-payment, or any activity that threatens the security or integrity of the Service.
  • Upon termination, you may request an export of Your Data within 30 days. After this period, we may delete Your Data in accordance with our data retention policy.

10. Limitation of Liability

To the maximum extent permitted by law, Certifable, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Certifable, Inc., its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
